EDUCATORS ADVANCEMENT GROUP, INC., operating as K-12 TEACHER’S ALLIANCE, is an Illinois corporation managing the website www.TeachHubPro.co.uk (collectively referred to as “us,” “we,” or “TeachHUB”). We are dedicated to ensuring a robust, meaningful, and enjoyable user experience for all visitors and users of our services (defined below).

These Terms of Use (the “Terms”), along with any relevant Other Agreements (defined below) and TeachHUB’s Privacy Policy, available at https://www.teachHUBPro.co.uk/privacy-policy/ and incorporated by reference, govern your access to and use of TeachHUB’s website (the “Site”) and social media accounts, pages, and other applications (“Social Media Accounts”), including all content, functionality, and services offered through them.

These Terms apply to all visitors to the Site or Social Media Accounts, subscribers to TeachHUB’s publications, newsletters, or notifications, content contributors to the Site or Social Media Accounts, users, viewers, subscribers, or purchasers of TeachHUB’s products or services (collectively, the “Services”), and any other customers, clients, members, and partners of TeachHUB (all referred to as “you” in these Terms).

TeachHUB offers various Services, and additional terms may apply to certain Services. When using or purchasing specific Services, you may be subject to additional guidelines, terms, and agreements applicable to those Services, which are incorporated herein by reference (“Other Agreements”). If these Terms conflict with any Other Agreements, the Other Agreements will prevail.

BY ACCEPTING THESE TERMS, YOU REPRESENT THAT YOU (A) HAVE READ, UNDERSTOOD, AND ACCEPTED THESE TERMS, THE PRIVACY POLICY, AND ANY APPLICABLE OTHER AGREEMENTS, (B) WILL BE FINANCIALLY RESPONSIBLE FOR YOUR ACCESS TO OR USE OF THE SITE, SERVICES, OR SOCIAL MEDIA ACCOUNTS, (C) ARE AT LEAST 18 YEARS OLD, AND (D) HAVE THE LEGAL AUTHORITY TO ENTER INTO AND FORM BINDING CONTRACTS UNDER APPLICABLE LAW. IF YOU PLACE AN ORDER ON BEHALF OF AN ORGANIZATION OR COMPANY, YOU AFFIRM THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ORGANIZATION OR COMPANY TO THESE TERMS.

ACCOUNT REGISTRATION AND ACTIVITY                                                                                 

TeachHUB Account. To access certain Services or areas of the Site, you may need to register an account with TeachHUB. By doing so, you represent and warrant that all information provided is accurate and complete, and you agree to keep this information current. Providing inaccurate registration details constitutes a breach of these Terms. TeachHUB reserves the right to reject any registration request and to suspend or terminate your account at any time and for any reason. Unless explicitly authorized, you are only permitted to create and use one account and are prohibited from using false identities. If you register an account on behalf of a business, you must have the authority to bind the company to these Terms, the Privacy Policy, and any Other Agreements. TeachHUB reserves the right to reclaim usernames or profiles on behalf of companies or individuals with legal claims to those usernames and to enforce forfeiture of usernames or profiles that become inactive, violate trademarks, or may mislead other users.

Third-Party Services. When registering a TeachHUB account, you may link it with a third-party service account, such as Facebook or Google (“TSP”). By enabling TSP access, you allow TeachHUB to pass your login information to these TSPs and access, make available, and store any information you have provided or stored in your TSP account. You can revoke TSP access at any time through your TeachHUB account settings. Note that the use, storage, and disclosure of your information by any TSP is governed solely by the policies of that TSP, and TeachHUB is not responsible for the privacy practices or actions of any TSP.

Account Activity. You are responsible for all activity conducted through your account, including purchases and charges incurred. If you identify using the Site or Services on behalf of a business, TeachHUB may share information about your usage with that business and its representatives. If the business informs TeachHUB that you are no longer authorized to act on its behalf, you may be removed from associated accounts. Purchased Services are personal to you and cannot be resold, transferred, or shared with others. Unauthorized distribution of your account name and password may result in the cancellation of Services without refund and additional charges for unauthorized use.

Account Name, Password, Security. You are solely responsible for maintaining the confidentiality of your account name and password and all activities under your account. Notify TeachHUB immediately of any unauthorized use or security breaches. While TeachHUB has implemented security measures to protect your personal information, it cannot guarantee that unauthorized third parties will ever defeat these measures. You acknowledge that you provide your personal information at your own risk.

Consent to Receive Communications. By creating an account, using the Site, Services, or Social Media Accounts, or providing your information to TeachHUB, you agree to receive communications from TeachHUB, including emails, text messages, newsletters, promotions, offers, and account updates. Any charges incurred due to communication methods are your responsibility. You may unsubscribe from non-transaction-based communications by clicking the “Unsubscribe” link in the email footer. By using the Site, Services, or Social Media Accounts or by sending communications to TeachHUB, you consent to receive communications electronically. All agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement for written communications.

USE OF THE SITE                                                                                                                            

Compliance with Laws and Prohibited Activities

You agree to comply with all applicable laws and regulations regarding your use of and access to the Site. The following activities are strictly prohibited:

  1. Legal Compliance:
    • Do not breach, violate, or circumvent any federal, state, local, or international laws or regulations, third-party rights, or our systems, policies, or account status determinations.
  2. Eligibility:
    • Use the Site if you cannot form legally binding contracts (e.g., if you are under 18 years old) or are temporarily or indefinitely suspended from using the Site.
  3. User Interaction:
    • Manipulate or interfere with any other user’s posting or content on or using the Site.
  4. Harm to Minors:
    • Exploit, harm, or attempt to exploit or harm minors by exposing them to inappropriate content or asking for personally identifiable information.
  5. Content Standards:
    • Send, knowingly receive, upload, download, use, or re-use any material that does not comply with the content standards set out in these Terms.
  6. Unsolicited Communications:
    • Transmit or procure the sending of any advertising or promotional material, including “junk mail,” “chain letters,” “spam,” or similar solicitations.
  7. Misrepresentation:
    • Impersonate another person or misrepresent your affiliation with any person or entity.
  8. Identity Concealment:
    • Hide or attempt to hide your identity.
  9. Spam and Unsolicited Communications:
    • Distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes.
  10. Malicious Software:
    • Upload, introduce, or distribute invalid data, Trojan horses, logic bombs, viruses, worms, or other malicious or technologically harmful technologies or materials.
  11. Automated Access:
    • Use any robot, spider, scraper, data mining tools, data gathering and extraction tools, or other automated means to access the Site without permission from TeachHUB.
  12. System Interference:
    • Interfere with or compromise the system integrity or security or decipher any transmissions to or from the Site’s servers.
  13. Overloading Infrastructure:
    • Interfering with the working of the Site or imposing an unreasonable or disproportionately large load on our infrastructure.
  14. Export Control:
    • Export or re-export any TeachHUB application or tool except in compliance with export control laws and posted rules and restrictions.
  15. Intellectual Property Infringement:
    • Infringe the copyright, trademark, patent, publicity, moral, database, or other intellectual property rights (collectively, “Intellectual Property Rights”) belonging to or licensed to TeachHUB, including reproducing, performing, displaying, distributing, copying, reverse engineering, decompiling, disassembling, or preparing derivative works from TeachHUB content.
    • Infringe any Intellectual Property Rights belonging to third parties or post content that does not belong to you.
  16. Unauthorized Access:
    • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
  17. Commercial Use:
    • Commercialize any TeachHUB application or any information or software associated with such application without prior express permission from TeachHUB.
  18. Denial-of-Service Attacks:
    • Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
  19. User Data Collection:
    • Harvest or otherwise collect user information, including account names, from the Site.
  20. Circumventing Technical Measures:
    • Circumvent any technical measures we use to provide the Site.

USER SUBMISSIONS AND OTHER CONTENT                                                                             

User Submissions: The Site and Social Media Accounts may feature interactive areas allowing users to submit, post, or upload various forms of content, including text, files, images, videos, and more (collectively, “Submissions”). All Submissions are considered non-confidential and non-proprietary and must comply with these Terms. TeachHUB reserves the right to remove or edit any Submissions but does not regularly review them. You are responsible for all royalties, fees, and any other monies owing due to your Submissions and for ensuring their legality, reliability, accuracy, and appropriateness. TeachHUB assumes no responsibility or liability for Submissions provided by users or third parties.

Content Standards: All Submissions must comply with applicable laws and regulations. Specifically, Submissions must not:

  • Contain defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable material.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe on any Intellectual Property Rights or other rights of any person.
  • Violate the legal rights (including rights of publicity and privacy) of others or contain material that could lead to civil or criminal liability.
  • Be deceptive, promote illegal activities, or advocate unlawful acts.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy others.
  • Impersonate any person or misrepresent your identity or affiliation.
  • Involve commercial activities or sales without TeachHUB’s prior express permission.
  • Give the false impression that they emanate from or are endorsed by TeachHUB or any other entity.
  • Contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or spam.

Ownership of Submissions: You represent and warrant that you own or have the rights to your Submissions and that their posting and use do not violate any rights or contracts. By posting Submissions, you grant TeachHUB a non-exclusive, royalty-free, worldwide license to use, modify, delete, publicly perform, display, reproduce, and distribute your Submissions in any media format and through any media channels. You waive your rights to enforce your intellectual property rights against TeachHUB and its sub-licensees in your submissions.

Monitoring and Enforcement: TeachHUB has the right, but not the obligation, to monitor Submissions and other content on the Site and Social Media Accounts. TeachHUB may take any necessary action, including reviewing, censoring, deleting, or prohibiting Submissions that violate these Terms or any applicable laws or that may create liability for TeachHUB. TeachHUB may cooperate with law enforcement authorities or court orders requesting or directing the disclosure of any user’s identity or other information. You agree to hold TeachHUB and its affiliates harmless from any claims resulting from actions taken during such investigations.

Deleted Submissions: TeachHUB may store deleted Submissions to comply with legal obligations, but they are not retrievable without a valid court order. Users are encouraged to maintain their backups, as TeachHUB is not a backup service and is not liable for any loss of Submissions.

Other Content: TeachHUB does not guarantee that any Submissions or other content will always be available, accurate, complete, or up-to-date. TeachHUB is not responsible for examining or warranting any Submissions or other content provided by users or third parties. Users are responsible for verifying the accuracy of such content. If users have concerns about inappropriate or unsafe submissions, they may report them to TeachHUB, which will review them and take necessary action.

Reporting Violations: If you encounter Submissions that violate these Terms or have concerns about their appropriateness, you may report them to TeachHUB. TeachHUB will review and remove reported items if necessary.

COPYRIGHT INFRINGEMENT POLICY                                                                                        

Intellectual Property Rights

TeachHUB is committed to respecting the intellectual property rights of others and aims to ensure that the Site contains no content that infringes on those rights. Users must post accurate and lawful information that does not violate third-party rights. TeachHUB provides a process for submitting complaints regarding Submissions that may violate intellectual property rights or other content standards. Whether or not TeachHUB restricts access to or removes content, it may attempt to forward the written notification, including the complainant’s contact information, to the user who posted the content and take other reasonable steps to notify the user of the alleged violation.

Policy on Infringement

In appropriate circumstances and at its discretion, TeachHUB may disable and terminate the accounts of users or groups who infringe or repeatedly infringe the rights of others or post unlawful content. Any notice or counter-notice submitted must be truthful and made under penalty of perjury. False notices or counter-notices can result in personal liability, and legal advice may be sought before submitting such notices.

Notice of Copyright Infringement

Under the Digital Millennium Copyright Act (DMCA), TeachHUB has procedures for receiving written notifications of claimed infringements and has designated an agent to receive these notices. If you believe your copyright has been infringed, you may send a written notice containing the following information:

  1. An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
  2. A description of the copyrighted work that you claim has been infringed.
  3. A description of where the infringing material is located on the Site or Social Media Accounts.
  4. Your email address, mailing address, and telephone number.
  5. A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  6. A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
  7. A true and correct copy of a Copyright Registration Certificate issued by an appropriate governmental unit concerning the copyrighted work.
  8. A true and correct copy of the deposit of the copyrighted work submitted to the appropriate governmental unit with your application to register the copyrighted work.

Counter-Notice

If you believe a copyright infringement notice has been improperly submitted against you, you may submit a counter-notice under Sections 512(g)(2) and (3) of the DMCA. Your counter-notice should include:

  1. Your physical or electronic signature.
  2. Identification of the material that was removed or to which access was disabled.
  3. A statement under penalty of perjury that you have a good faith belief that the removal or disablement was a mistake or that the material was misidentified.
  4. Your full name, email address, mailing address, and a statement that you consent to the jurisdiction of the Federal District Court in the judicial district where your address is located if in the United States or the judicial district of Cook County (Illinois) if your address is outside the United States, and that you will accept service of process from the complainant or their authorized agent.

SOCIAL MEDIA ACCOUNTS POLICY                                                                                            

Social Media Accounts

When using TeachHUB’s social media accounts, including those on Facebook, Twitter, LinkedIn, and Instagram, it’s crucial to adhere to the Terms, Privacy Policy, and the terms of use of the respective social media platform. These guidelines are in place to ensure a safe and respectful online environment. TeachHUB may share links, offers, or other information on its social media accounts and reserves the right to discontinue any of these accounts at any time.

No Representation or Warranty

The information on TeachHUB’s social media accounts is for general informational purposes only. TeachHUB does not guarantee the information’s accuracy, completeness, usefulness, timeliness, or reliability. Any reliance on such information is at your own risk. TeachHUB disclaims all liability for any reliance on the materials by you or anyone else. TeachHUB is not responsible for defamatory, offensive, or illicit content on its social media accounts.

No Endorsement

TeachHUB does not endorse, support, sanction, encourage, verify, or agree with the comments, opinions, or statements posted on its social media accounts. The views and responsibilities for any online information or material, including advice and opinions, are those of the individuals commenting. Actions such as following another user’s account, liking a page, retweeting, favoriting, sharing, or reposting content do not constitute an endorsement by TeachHUB.

Content on Social Media Accounts

All comments and posts on TeachHUB’s social media accounts are considered Submissions. They are subject to the same terms and conditions as other Submissions, including the right of TeachHUB to review, delete, edit, or move any Submissions and to block any social media follower at its discretion.

Use of Social Media Accounts

TeachHUB’s social media accounts are not intended to resolve issues, complaints, or suggestions about individual sales and service experiences. For such matters, please contact TeachHUB through the “Contact Us” page at https://teachhubpro.co.uk/write-for-us/. Comments may be forwarded to the appropriate TeachHUB departments and personnel for follow-up.

THIRD-PARTY LINKS                                                                                                                     

The Site, Services, and Social Media Accounts may include links to third-party websites, advertisers, or services that are not owned or controlled by TeachHUB. TeachHUB does not endorse or make any representations about these third-party sites. We have no control over and accept no responsibility for these external websites or services’ content, privacy policies, or practices. MODIFICATION AND AVAILABILITY

TeachHUB grants you a limited, revocable, and non-sublicensable license to reproduce and display the TeachHUB Content (excluding software code) solely for personal use in relation to viewing or utilizing the Site, Services, or Social Media Accounts. However, it’s crucial to note that without explicit authorization from TeachHUB, any modification, copying, framing, scraping, renting, leasing, loaning, selling, distributing, or creation of derivative works based on the Site, Services, Social Media Accounts, or TeachHUB Content, in whole or in part, is strictly prohibited. Additionally, engaging in data mining, robots, scraping, or similar data gathering or extraction methods in connection with your use of the Site, Services, or Social Media Accounts is not allowed. Any unauthorized use is strictly prohibited and may result in legal action.
The technology underpinning the Site, Services, or Social Media Accounts belongs to TeachHUB, its affiliates, licensors, and contractors. You agree not to copy, modify, create derivative works of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or transfer any rights related to the Site, Services, or Social Media Accounts. All rights not expressly granted by TeachHUB are reserved.
The name “TeachHUB” and all related marks, logos, product and service names, designs, and phrases used on the Site or in connection with our Services are trademarks, service marks, or trade dress of TeachHUB or its affiliates or licensors. These marks may not be used without prior written permission from TeachHUB. Other company, product, and service names and logos displayed on the Site, Services, or Social Media Accounts may be their respective owners’ trademarks or service marks, who may or may not endorse or be affiliated with TeachHUB. These marks should not be used without permission; any use will solely benefit their owners.

INDEMNIFICATION, DISCLAIMER, LIABILITY, AND RELEASE                                                

Indemnification: You agree to indemnify and hold harmless TeachHUB, its affiliated companies, and their respective officers, directors, employees, managers, agents, successors, and assigns (“Indemnified Parties”) from and against any claim or demand (including reasonable attorneys’ and experts’ fees and costs) made by any party due to or arising out of your (a) breach of these Terms, (b) improper use of the Site, Services, or Social Media Accounts, or (c) breach of any law or the rights of a third party. TeachHUB shall promptly notify you in writing of any threatened or actual claim or demand and reasonably cooperate with you to facilitate the settlement or defense thereof. You shall have sole control of the defense or settlement of any claim or demand, provided that TeachHUB, at its option and expense, may participate and appear on an equal footing with you. You shall not settle any claim or demand without the written consent of the Indemnified Parties, with such consent not to be unreasonably withheld or delayed.

Disclaimer: To the fullest extent permitted by applicable law, the TeachHUB Content and the Site, Services, or Social Media Accounts are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including, without limitation, implied warranties of non-infringement, merchantability, or fitness for a particular purpose. Neither TeachHUB nor any person associated with TeachHUB makes any warranty or representation concerning the completeness, security, reliability, quality, accuracy, or availability of the Site, Services, Social Media Accounts, or the TeachHUB Content. Without limiting the preceding, neither TeachHUB nor anyone associated with TeachHUB represents or warrants that the Site, Services, or Social Media Accounts, the TeachHUB Content, or any other content or submissions posted on or through the Site, Services, or Social Media Accounts will be accurate, reliable, error-free, or uninterrupted; that defects will be corrected; that the Site, Services, or Social Media Accounts or the server that makes them available are free of viruses or other harmful components; or that the Site, Services, or Social Media Accounts will otherwise meet your needs or expectations. TeachHUB disclaims any responsibility for any acts or omissions of other Sites, Services, or Social Media account users. If you are dissatisfied with the Site, Social Media Accounts, or any of our Services, your sole remedy is to discontinue using the Site, Social Media Accounts, or our Services. Some jurisdictions do not allow the disclaimer of warranties, so such disclaimer may not apply to you.

Limitation of Liability: To the fullest extent permitted by law, in no event shall TeachHUB be liable for any special, indirect, punitive, cover, incidental, or consequential damages, however caused, whether in contract or tort or under any other theory of liability, including, without limitation, loss of revenue, anticipated profits, business or sales, any loss of goodwill or reputation, or the costs of substitute goods or services, even if TeachHUB or an authorized representative thereof has been advised of the possibility of such damages. In addition, to the extent permitted by applicable law, we (including our parent, subsidiaries, and affiliates, and our and their officers, directors, managers, agents, and employees) are not liable, and you agree not to hold us responsible, for any damages or losses resulting directly or indirectly from:

  • Your use of or inability to use the Site, Services, or Social Media Accounts;
  • The TeachHUB Content or other guidance provided by TeachHUB;
  • Defects in or any inaccuracies contained in the Site, Services, or Social Media Accounts;
  • Delays or disruptions in the Site, Services, or Social Media Accounts;
  • Viruses or other malicious software obtained by accessing or linking to the Site, Services, or Social Media Accounts;
  • Glitches, bugs, errors, or inaccuracies of any kind in the Site or Social Media Accounts;
  • Damage to your hardware device from the use of the Site, Services, or Social Media Accounts;
  • The content, actions, or inactions of third parties, including any submissions posted on or through the Site, Services, or Social Media Accounts or the misrepresentations of any third party;
  • A suspension or other action taken concerning your account or the Site, Services, or Social Media Accounts or breach of any of these Terms;

Notwithstanding anything contained herein to the contrary, in no event shall the total liability of TeachHUB to you or any third party for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence, product liability, or otherwise) arising from these Terms or your access to or use (or purchase) of the Site, Services, or Social Media Accounts exceed, in the aggregate, $100.00 or the amount you paid for the services giving rise to the alleged claim (whichever is lower). Some jurisdictions do not allow the exclusion of damages, so such exclusions may not apply to you. Limitation on Time to File Claims: To the fullest extent permitted by law, any cause of action or claim you may have arising out of or relating to these Terms or your use of the Site, Services, or Social Media Accounts must be commenced within six (6) months after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

These Terms are entered into and performed in Chicago (Cook County), Illinois, USA. These Terms do not give rise to personal jurisdiction over TeachHUB in jurisdictions other than Illinois. Dispute Resolution: The parties shall attempt to resolve any disputes through good faith business negotiations or facilitative mediation in Chicago, Illinois. Except as otherwise determined by TeachHUB, all disputes or claims arising out of or relating to these Terms shall be settled by arbitration, conducted by a single arbitrator in Chicago, Illinois, by the commercial rules of the American Arbitration Association, provided that the arbitrator shall not have authority to issue injunctions. The proceedings shall be conducted only in English. Judgment upon the award may be entered in any court having jurisdiction thereof. Other legal proceedings, if any, shall be initiated and maintained in Cook County, Illinois. The parties submit to these courts’ exclusive personal jurisdiction and venue and waive any objection on the grounds of personal jurisdiction, venue, or forum non conveniens.

Attorneys’ Fees and Costs: If any litigation, arbitration, or similar adjudicatory proceeding is commenced by any party to enforce its rights under these Terms against the other party, all fees, costs, and expenses, including without limitation, arbitration costs, reasonable attorneys’ fees, and court costs, incurred by TeachHUB, if it is the prevailing party, shall be reimbursed by you; provided that if TeachHUB prevails in part and loses in part, the adjudicator shall award reimbursement of the fees, costs, and expenses incurred by TeachHUB on an equitable basis.

Amendment of these Terms: TeachHUB may modify, add, or remove any portion of these Terms at its sole discretion, with or without notice, by posting changes on the Site. Once posted, such changes shall come into full force and effect. Use of the Site, Services, or Social Media Accounts constitutes acceptance of these Terms, including continued use after changes are posted. No Waiver: TeachHUB’s failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

No Partnership: No partnership, joint venture, franchisor-franchisee, or agency relationship is intended or created by these Terms.

Assignment: You may only assign or transfer these Terms or your obligations with TeachHUB’s written consent. In the event of a permitted transfer, these Terms shall bind and benefit the parties, their successors, and permitted assigns. TeachHUB may assign or transfer this Policy or its obligations without your consent.

Survival: All provisions regarding representations and warranties, content, indemnification, disclaimers, and limitations on liability shall survive any termination of these Terms.

Force Majeure: Any delay in TeachHUB’s performance will not be considered a breach if caused by events beyond its control, provided TeachHUB uses reasonable efforts to resume performance as soon as practicable.

Language: If a translation of these Terms is required by law, the English version will prevail. If provided in another language, it is solely for convenience.

Entire Agreement: These Terms, the Privacy Policy, and any applicable Other Agreements contain the whole agreement between you and TeachHUB, superseding all previous communications and agreements.
